These Terms of Use (“Terms”) govern your access to and use of the website, application, and related services (collectively, the “Service”) provided by Climate Solutions International, Inc. (“CSI,” “we,” “us,” or “our”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not access or use the Service.

Certain features of the Service may be available only to users authorized under a separate subscription agreement between CSI and a governmental or institutional customer (“Subscribing Entity”). If you access the Service through a Subscribing Entity, your use may also be governed by that agreement.

We may update these Terms from time to time. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.

1. Eligibility and Authority

You may use the Service only if:

  • you are at least 18 years old; and

  • you have the authority to act on behalf of yourself or the organization you represent.

If you access the Service on behalf of an employer or other organization, you represent that you have authority to bind that entity to these Terms.

The Service is controlled and operated from the United States. Users accessing the Service from other jurisdictions do so on their own initiative and are responsible for compliance with applicable laws.

2. Accounts and Registration

Some features of the Service require account registration.

You agree to:

  • provide accurate and complete information

  • maintain the confidentiality of your login credentials

  • notify us promptly of any unauthorized use of your account

You are responsible for all activity occurring under your account.

Access to certain portions of the Service may require authorization through a Subscribing Entity’s agreement with CSI.

We reserve the right to suspend or terminate accounts that violate these Terms or whose authenticity cannot be verified.

3. License to Use the Service

Subject to these Terms, CSI grants you a limited, non-exclusive, non-transferable license to access and use the Service.

Except as expressly permitted, you may not:

  • copy, reproduce, distribute, or modify the Service

  • reverse engineer or attempt to extract source code

  • interfere with the operation or security of the Service

  • use the Service for unlawful purposes

You may download or print limited portions of Service outputs for your internal organizational use, provided all proprietary notices remain intact.

4. Prohibited Conduct

You agree not to:

  • impersonate another person or entity

  • submit unlawful or harmful content

  • upload malicious code or viruses

  • attempt unauthorized access to the Service or related systems

  • send unsolicited communications or spam through the Service

You may not access or extract content from the Service using automated tools such as bots, scrapers, spiders, crawlers, browser automation systems, or similar technologies.

AI Training and Automated Data Extraction

You may not use the Service, or any content, data, outputs, or materials obtained from the Service, to develop, train, fine-tune, or improve any machine learning or artificial intelligence models or datasets without CSI’s prior written consent.

The collection of data from the Service for the purpose of training artificial intelligence systems, creating datasets, benchmarking models, or developing competing analytics tools is strictly prohibited.

Competitive Use Restriction

You may not use the Service or any information obtained from the Service to develop, benchmark, or operate a competing product or service or to evaluate the Service for the purpose of building or improving a similar offering.

5. Submissions and User Content

If you submit content to the Service (“Submissions”), you represent that you have the necessary rights to provide such content.

You grant CSI a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display such Submissions for purposes related to operating, improving, and promoting the Service.

You remain responsible for the legality and accuracy of your Submissions.

CSI reserves the right to remove content that violates these Terms.

6. Intellectual Property

The Service and all associated software, models, datasets, analytics, designs, and materials are owned by CSI or its licensors and are protected by intellectual property laws.

Except for the limited license granted in these Terms, no rights are transferred to you.

7. Data Use and Export Restrictions

Except as expressly permitted by the Service, you may not systematically download, extract, export, reproduce, or redistribute data, reports, models, or outputs from the Service in bulk or in a manner that could reasonably replicate the functionality or datasets of the Service.

These restrictions apply regardless of the method used to collect information from the Service, including automated tools, manual copying, transcription, screenshot capture, or similar methods.

You may not aggregate outputs from the Service to construct a database or dataset that competes with or substitutes for the Service.

Exported reports or outputs generated by the Service may be used internally by you or your organization for planning or operational purposes but may not be resold, licensed, or distributed as a standalone dataset or analytical service without CSI’s prior written consent.

CSI reserves the right to monitor usage patterns and implement technical safeguards to detect and prevent excessive or automated data extraction.

8. Redistribution and Commercial Publication Restrictions

Except with CSI’s prior written consent, you may not:

  • publish, distribute, or commercialize Service data or outputs in third-party reports, research publications, or consulting deliverables

  • reproduce screenshots, visualizations, or analytics generated by the Service in materials prepared for sale or commercial distribution

  • represent Service outputs as proprietary research or datasets developed independently of the Service

Limited excerpts of Service outputs may be included in internal reports prepared for your organization, provided that CSI is clearly identified as the source.

9. Data Integrity and Decision Disclaimer

The Service provides analytical tools, models, projections, and informational outputs intended to support planning and analysis.

The Service does not provide legal, financial, engineering, or policy advice.

Users remain solely responsible for evaluating the accuracy, completeness, and suitability of any outputs generated by the Service and for any decisions made based on those outputs.

CSI does not guarantee that use of the Service will result in the approval of funding, grants, regulatory approvals, or successful policy outcomes.

10. Subscription Services

Certain features of the Service may be available only through paid subscriptions.

Subscriptions are typically provided through agreements between CSI and governmental or institutional customers (“Subscribing Entities”).

Users accessing the Service through such organizations acknowledge that their access may be governed by additional contractual terms between CSI and the applicable Subscribing Entity. If a conflict exists between these Terms and the institutional agreement, the institutional agreement controls.

CSI may suspend or terminate access if the applicable institutional authorization is withdrawn.

11. Public Records / FOIA Protection

If you access or use the Service through a governmental entity, public agency, or other institution subject to public records, freedom of information, or similar disclosure laws, you acknowledge that certain information made available through the Service, including datasets, models, analytics, visualizations, and outputs, may constitute proprietary and confidential commercial information of CSI.

To the extent permitted by applicable law, if you or your organization receive a request for disclosure of such information, you agree to:

  • promptly notify CSI of the request;

  • cooperate with CSI in asserting any applicable exemptions or protections from disclosure; and

  • use reasonable efforts to prevent or limit disclosure of CSI’s proprietary information.

Nothing in this Section requires any person or entity to violate applicable law. However, you acknowledge that CSI considers the Service and its associated datasets, models, analytics, visualizations, and outputs to be proprietary and confidential to the fullest extent permitted by law.

12. Government Redistribution Restrictions

If you access or use the Service through a governmental entity, public agency, or other institutional customer, you may use Service outputs for internal planning, analysis, administration, and decision-making purposes.

Except as required by law or expressly authorized in writing by CSI, you may not publish, redistribute, license, or otherwise make available Service datasets, models, analytics, or outputs in bulk or in a manner that would permit a third party to replicate, reconstruct, substitute for, or compete with the Service or its underlying datasets, functionality, or analytical capabilities.

Public reports, presentations, filings, and similar materials may reference conclusions, insights, or recommendations derived from the Service, but may not include underlying datasets, bulk exports, models, or visualizations in a manner that would allow replication of the Service’s proprietary information without CSI’s prior written consent.


13. Third-Party Links

The Service may contain links to third-party websites or services.

CSI does not control or endorse such third-party resources and is not responsible for their content, availability, or practices.

14. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

CSI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

CSI DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CSI AND ITS AFFILIATES, PARTNERS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE.

IN NO EVENT SHALL CSI’S TOTAL LIABILITY ARISING FROM OR RELATED TO THE SERVICE EXCEED ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions may not allow certain limitations of liability.

16. Indemnification

You agree to indemnify and hold harmless CSI and its affiliates, partners, employees, and suppliers from any claims, damages, liabilities, or expenses arising from:

  • your use of the Service

  • your violation of these Terms

  • your Submissions or other content you provide

  • your violation of any law or third-party rights

CSI reserves the right to assume the exclusive defense of any claim subject to indemnification.

17. Privacy

Our collection and use of personal information are governed by our Privacy Policy.

18. Termination

You may stop using the Service at any time.

CSI may suspend or terminate your access if you violate these Terms or if the Service is discontinued.

Upon termination, your right to use the Service immediately ends.

19. Governing Law

These Terms are governed by the laws of the State of Washington.

Any disputes arising from these Terms shall be resolved in the state or federal courts located in King County, Washington.

20. Assignment

You may not assign these Terms without CSI’s written consent.

CSI may assign these Terms to an affiliate or successor entity.

21. Miscellaneous

These Terms constitute the entire agreement between you and CSI regarding the Service.

If any provision is found unenforceable, the remaining provisions will remain in effect.

CSI’s failure to enforce a provision does not constitute a waiver of that provision.
